TERMS OF SERVICE – HAPPYCOFFEE

PREAMBLE & BINDING AGREEMENT
Welcome to HappyCoffee. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "You") and Sippy Co B.V. ("Company," "We," "Us," or "Our"), located at Vlierweg 12, 1032LG, Amsterdam, NL.
By accessing our website, purchasing our products (including subscriptions), or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE, YOU MUST NOT USE OUR SERVICES.
1. HEALTH SAFETY, DISCLAIMERS & ASSUMPTION OF RISK
WARNING: HIGH CAFFEINE CONTENT. HappyCoffee products, specifically our Concentrates and Protein Coffee, contain high levels of caffeine and/or other active ingredients.
1.1 Strict Preparation Protocol You acknowledge that our products are strictly intended to be consumed diluted or prepared exactly according to the instructions provided on the packaging. You agree that:

You will never consume liquid concentrates undiluted.

You will never consume powder products without water ("dry-scooping").

Any deviation from the printed instructions is a material breach of these Terms and is done strictly at your own risk.
1.2 Health Representations By purchasing, you represent and warrant that:

You are in good physical health and have no pre-existing heart conditions, high blood pressure, or sensitivity to caffeine.

You are not pregnant, nursing, or under the age of 18.

You are not taking prescription medication that interacts negatively with caffeine.
1.3 No Medical Advice (FDA & EFSA Disclaimer) Statements regarding our products have not been evaluated by the Food and Drug Administration (FDA) or the European Food Safety Authority (EFSA). These products are not intended to diagnose, treat, cure, or prevent any disease. You agree to consult a physician before starting any new dietary regimen.
1.4 Assumption of Risk YOU KNOWINGLY AND FREELY ASSUME ALL RISKS, BOTH KNOWN AND UNKNOWN, related to the consumption of high-caffeine products, specifically acknowledging that misuse or overconsumption can lead to adverse health effects.
2. ORDERS, ACCEPTANCE & CANCELLATION
2.1 Order Acceptance Your receipt of an order confirmation does not signify our acceptance of your order. We reserve the right to accept or decline your order at any time for any reason, including but not limited to: unavailability of product, errors in pricing, or suspicion of fraud.
2.2 Right to Refuse Service We reserve the right to limit the sales of our products to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any products or services that we offer.
3. SUBSCRIPTION TERMS & AUTOMATIC RENEWAL
3.1 The "Auto-Ship" Agreement By purchasing a Subscription, you acknowledge that your subscription has an initial and recurring payment feature and you accept responsibility for all recurring charges prior to cancellation.
3.2 Automatic Renewal Your subscription will automatically renew at the selected interval (e.g., every 30 days) and your payment method will be charged the then-current subscription price (plus applicable taxes and shipping) without further authorization from you.
3.3 Cancellation Policy YOU MUST CANCEL AT LEAST 48 HOURS PRIOR TO YOUR NEXT BILLING DATE. Cancellations must be performed via your account portal. Requests sent via email are not guaranteed to be processed before the billing trigger.

Late Cancellation: If you cancel after the billing date or within the 48-hour window, the order will be processed and shipped. This order is non-refundable.
4. SHIPPING, CUSTOMS & RISK OF LOSS
4.1 Transfer of Risk (EU vs. International)

For EU Consumers: Risk of loss passes to you when you (or a third party designated by you, other than the carrier) physically acquire the goods.

For Non-EU Customers (USA/Global): All shipments are made pursuant to a shipment contract. The risk of loss and title for such items pass to you upon our delivery to the carrier.
4.2 Customs, Duties & Taxes (DDU) For all international orders (outside the EU), shipments are Delivered Duty Unpaid (DDU). You are the "Importer of Record." You are solely responsible for all import duties, taxes, and brokerage fees. Refusal to pay these fees will result in the package being abandoned. We will not refund orders abandoned at customs.
4.3 "Porch Piracy" & Failed Delivery We are not liable for lost or stolen packages once the carrier marks the shipment as "Delivered." It is your responsibility to provide a secure delivery location. Incorrect addresses provided by the user are not subject to a refund or replacement.
5. RETURNS, REFUNDS & RIGHT OF WITHDRAWAL
5.1 Hygiene Exception (The "Seal" Rule) Due to the perishable nature of coffee and food safety regulations, ALL SALES ARE FINAL once the product safety seal has been broken or the packaging opened.

EU Right of Withdrawal: While EU customers generally have a 14-day right of withdrawal, this right is excluded for sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed after delivery.
5.2 Refund Eligibility Refunds are only issued for:

Damaged goods (proof of damage required within 48 hours of delivery).

Wrong items sent by Sippy Co B.V.

First Sip Guarantee: If applicable, specific terms of this marketing offer supersede this section only for first-time customers.
6. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Sippy Co B.V., its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of:

Your breach of these Terms.

Your misuse of the products (including failure to follow preparation instructions).

Your violation of any law or the rights of a third party.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW: IN NO CASE SHALL SIPPY CO B.V. BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF ANY OF THE SERVICE OR ANY PRODUCTS PROCURED USING THE SERVICE.
8. PROHIBITED RESALE & INTELLECTUAL PROPERTY
8.1 No Unauthorized Resale Purchase of our products is for personal use only. Reselling HappyCoffee products on third-party marketplaces (Amazon, eBay, TikTok Shop, Etsy, Walmart, etc.) is strictly prohibited and constitutes a trademark infringement. We reserve the right to cancel orders and pursue legal action against unauthorized resellers.
8.2 Intellectual Property All content included on the Site (text, graphics, logos, images) is the property of Sippy Co B.V. and protected by international copyright laws.
9. GOVERNING LAW & DISPUTE RESOLUTION
9.1 For EU/Rest of World Customers: These Terms shall be governed by and construed in accordance with the laws of The Netherlands. Disputes shall be submitted to the competent court in Amsterdam.
9.2 For United States Customers (MANDATORY ARBITRATION): Any dispute or claim relating in any way to your use of HappyCoffee products sold to US addresses will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Class Action Waiver: We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
10. CHANGES TO TERMS
We reserve the right to update, change, or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes.
